Ngu Truong brings over 15 years of experience in M&A, corporate law, and international transactions. Before founding Vilasia, he worked in Vietnam, the US, and Japan, combining academic theory with practical application.
Ngu has been involved in impactful and major M&A and financing deals, including aiding TVM Capital Healthcare in investing in Alina Eye Hospital in a growth buy-out transaction and advising EQuest Education Group on a US$120 million debt-equity blended investment by KKR. He also guided two Japanese investors through acquisition attempts of local banks, known as the “Zero dong” banks, defended Nichirei Foods against a hostile takeover of its investee company Cholimex. Additionally, he advised Mitsui on its acquisition of Minh Phu Seafood and assisted in several finance sector transactions, including advising a major Japanese leasing company in its pursuit of acquiring a finance leasing firm.
Ngu holds a Master of Law degree from Pennsylvania State University (USA) and spent three years there pursuing in-depth studies on the competition law aspects of M&A transactions.
A prolific author, in 2018, Ngu wrote “Essentials of M&A Legal Practice” (Pháp Lý M&A Căn Bản), a practical guide for transactional lawyers and investment bankers, along with numerous journal articles, contributing to legal reform and inspiring innovative solutions.
Ngu co-authored two chapters in Samuel C. Thompson’s “The Deal Lawyer’s Weapons in the War on COVID-19” (PLI 2020). Chapter 9 examines the impact of the pandemic on drafting and implementing M&A agreements, while Chapter 10 introduces bankruptcy law issues arising from the crisis. He also contributed to Thompson’s “Corporate Valuation in M&A” (PLI 2023).
