Represented one of Vietnam’s largest construction firms in acquiring an approximately USD 80 million housing project through a sophisticated funding structure.
Advised a manufacturing company on developing a residential project under Resolution No. 171/2024/QH15, restructuring its traditional business, and transferring a 5.3-hectare project site in Binh Duong (now part of Ho Chi Minh City).
Advised Nguyet Minh 2, a leading aluminium recycler, on Marubeni’s investment in the company.
Represented a Hanoi-based healthcare group in a 35-year joint venture with a Bac Ninh-based hospital.
Acted on the legal due diligence and contractual arrangements for an 80-hectare theme park project in Sapa.
Advised a leading real estate developer on separating a tower block from a landmark mixed-use complex in the Thu Thiem new urban area, Ho Chi Minh City, so that it may be owned by a separate legal entity.

Advised a solar tech startup with an existing Singapore holding company on a seed round from an international investment fund.
Advised a media tech startup with a Singapore holding company and Vietnamese operating companies on an investment from a strategic investor.
Advised a Japanese investment fund on its investment in a healthtech startup, including its restructuring in Vietnam and the establishment of a Singapore holding company.
Advised a Singapore investment fund on a convertible loan investment in an applied AI startup.
Supported a rooftop solar startup in a successful fundraising round with Picus Capital and an EU-based venture capital firm.

Merger Control Credentials
Selected merger control filings before the Vietnam Competition Commission since 2024.
Private Equity / Professional Services. Obtained clearance for the foreign-to-foreign acquisition of the Hong Kong holding company of an international professional services group by an SPV controlled by a global private equity sponsor, spanning five product markets across 17 geographic markets.
Renewable Energy / Industrial Parks. Obtained clearance for a joint venture between a leading regional renewable energy platform and a major Vietnamese industrial park developer for rooftop solar, including assessment of vertical relationships.
Renewable Energy. Advised a leading Philippine renewable energy group on the merger filing for its offshore acquisition of sole control over the holding company of two operating wind farms in Vietnam, triggered by the asset-based notification threshold under Vietnam’s merger control regime.
Food Processing. Obtained clearance for the acquisition of 100% of a Vietnamese food processing company (charter capital approximately USD 310 million), involving offshore sellers and a leading global agro-industrial group.
Food & Beverage. Obtained clearance for the acquisition of a controlling stake in a Vietnamese premium F&B company producing fruit-based products, juice and coffee under multiple consumer brands.
Automotive. Advised a leading global automotive supplier on the Vietnam merger control aspects of its approximately USD 330 million acquisition of another global components manufacturer.
